By accessing or using our services — including Bulk SMS, OTP SMS, Transactional SMS, Voice Call, WhatsApp, Email Marketing, Lead Generation, and API services — you agree to be bound by these Terms. If you do not agree, please do not use our services.
Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client", "User", or "You") and Synergy DataTech ("Company", "We", "Us", or "Our"), a digital communications service provider registered in Ahmedabad, Gujarat, India.
By registering an account, placing an order, purchasing credits, or using any of our services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms along with our Privacy Policy, which is incorporated herein by reference.
These Terms apply to all users — individual customers, businesses, developers accessing our API, and resellers — across all our digital communication services.
Services Offered
Synergy DataTech provides the following digital communication services to businesses and individuals in Ahmedabad, Gujarat, and across India:
- Bulk SMS — mass promotional and transactional text message campaigns
- Transactional SMS — system-triggered notifications such as order confirmations, alerts, and updates
- OTP SMS — one-time password delivery for authentication and verification
- Promotional SMS — marketing messages to opted-in recipients
- Voice Call — automated outbound voice broadcasting and IVR services
- Bulk WhatsApp — mass WhatsApp message campaigns via panel
- Verified WhatsApp — official WhatsApp Business API integration with green tick verification
- Email Marketing — bulk email campaign design, delivery, and analytics
- Leads Marketing — targeted lead generation and delivery services
- API SMS — RESTful SMS gateway API for developer integration
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.
Account & Registration
To access our services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated at all times.
- You are responsible for maintaining the confidentiality of your account credentials, including your API keys and passwords
- You are fully responsible for all activities that occur under your account
- You must immediately notify us of any unauthorized access to or use of your account
- We reserve the right to suspend or terminate accounts that provide false information or violate these Terms
- You must be at least 18 years of age and legally capable of entering a binding contract to register
DLT Compliance & Regulatory Requirements
All SMS communications in India are governed by the Telecom Regulatory Authority of India (TRAI) and must comply with the Distributed Ledger Technology (DLT) framework mandated by TRAI.
Important: It is the sole responsibility of the Client to ensure their sender IDs, message templates, and recipient lists are registered and approved on the DLT platform before sending commercial messages. Synergy DataTech will not be held liable for messages rejected, blocked, or penalised due to non-compliance with DLT requirements.
- Clients must have a valid, TRAI-registered sender ID (header) before sending SMS
- All message templates must be pre-approved on the DLT platform
- Clients are responsible for maintaining an opt-in subscriber list and must be able to produce proof of consent on request
- We assist clients with the DLT registration process but cannot guarantee approval timelines set by the DLT platform
- Synergy DataTech reserves the right to block messages that appear non-compliant
How We Communicate With You
Synergy DataTech may use your contact information to communicate with you in connection with your account, your enquiries, and the services we provide. This includes responding to your requests, providing customer service, and sending you important updates about our platform.
We may use your information to respond to your enquiries, provide customer service support, send you important information about the services, and send you marketing communications (with your consent) via different channels, including but not limited to:
Your consent matters. Marketing communications will only be sent where you have given us explicit consent or where we have a legitimate interest based on an existing business relationship. You may opt out of marketing communications at any time by contacting us at synergydatatech@gmail.com or replying STOP to any SMS.
Transactional and service communications — such as account alerts, invoice notifications, and support responses — are sent regardless of marketing preferences, as they are necessary for the operation of your account and delivery of services.
Permitted Use
You may use our services only for lawful purposes and in accordance with these Terms. Permitted uses include:
- Sending transactional messages to customers who have an existing relationship with your business
- Sending promotional messages to recipients who have explicitly opted in to receive such communications
- Sending OTPs and authentication codes to users of your own platforms
- Operating automated customer communications within applicable legal frameworks
- Using our API to integrate SMS functionality into your own applications and services
- Running email marketing campaigns to opted-in subscriber lists
Prohibited Use
You agree not to use our services for any of the following purposes. Violation of this section may result in immediate account termination without refund:
- Sending unsolicited commercial messages (spam) to any person who has not given explicit consent
- Sending messages that are misleading, deceptive, defamatory, obscene, or fraudulent
- Impersonating any person, business, or entity, including through fake sender IDs
- Sending content that promotes illegal activities, violence, terrorism, or hate speech
- Sending messages related to gambling, adult content, tobacco, or other age-restricted content without appropriate verification
- Using our platform for phishing, credential theft, or any form of cybercrime
- Sending political campaign messages without proper DLT registration and legal authority
- Transmitting any content that infringes on intellectual property, privacy, or other rights
- Attempting to reverse-engineer, hack, or disrupt our platform, API, or infrastructure
- Reselling our services without prior written authorization from Synergy DataTech
Zero Tolerance Policy: Any account found to be engaged in spam, fraud, or illegal activity will be permanently banned and may be reported to TRAI, law enforcement, or other relevant authorities.
Payment & Credits
Our services operate on a prepaid credit or invoice basis. All prices are in Indian Rupees (INR) and are subject to applicable GST as per Indian tax law.
- Credits must be purchased in advance and are consumed as messages are sent
- Credit prices may vary based on volume, message type, and current market rates — confirmed at the time of purchase
- Credits are non-transferable between accounts unless agreed in writing
- We reserve the right to modify our pricing with 30 days' notice for ongoing clients
- Invoiced clients are required to pay within the agreed payment terms (typically 15–30 days)
- Late payments may attract interest charges or result in account suspension
- All payments made are subject to realisation and are final upon confirmation
Refund Policy
Given the nature of digital communication services, our refund policy is as follows:
- Unused Credits: Unused SMS or email credits may be eligible for refund within 30 days of purchase, subject to a processing fee, provided no messages have been sent using that credit balance
- Delivered Messages: Credits consumed for successfully delivered messages are non-refundable
- Failed Delivery: Credits for genuinely failed deliveries (confirmed by network logs) will be returned to your account balance, not as cash
- DLT Rejection: Messages blocked due to DLT non-compliance on the client's end are not eligible for refund
- Service Downtime: In cases of platform downtime caused by our infrastructure, affected credits will be reinstated to your account
To request a refund or credit reinstatement, contact us at synergydatatech@gmail.com within 30 days of the transaction, providing your account details and relevant message IDs.
Intellectual Property
All content, software, technology, branding, documentation, and materials available through Synergy DataTech's platform, website, and API are the exclusive intellectual property of Synergy DataTech or its licensors.
- You may not copy, reproduce, distribute, modify, or create derivative works of our platform or content without prior written consent
- Our trademarks, service marks, and logos may not be used without explicit written permission
- You retain full ownership of the content (messages, contact lists, templates) that you upload or create using our services
- By using our services, you grant Synergy DataTech a limited licence to process and transmit your content solely to deliver the requested services
Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. While we strive for maximum uptime and reliability, Synergy DataTech makes no warranties, express or implied, including but not limited to:
- Uninterrupted, timely, or error-free service delivery
- Guaranteed delivery of every message sent through our platform (delivery is subject to carrier, network, and DLT conditions)
- Fitness of our services for any particular purpose or outcome
- The accuracy or completeness of any lead data or third-party content provided through our services
We disclaim all liability for delays, failures, or quality issues caused by third-party telecom operators, internet providers, or regulatory bodies beyond our reasonable control.
Limitation of Liability
To the maximum extent permitted by applicable law, Synergy DataTech and its officers, directors, employees, and agents shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages arising from your use of our services
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages resulting from unauthorized access to your account or data
- Losses caused by third-party service failures, network outages, or regulatory actions
In any event, our total aggregate liability to you for any claims arising from use of our services shall not exceed the total amount paid by you to Synergy DataTech in the three (3) months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Synergy DataTech, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, penalties, and expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of our services
- Your violation of these Terms or any applicable law or regulation
- The content of messages sent through your account
- Any claims made by your recipients or third parties regarding communications sent via our platform
- Any TRAI or regulatory penalties arising from non-compliance on your part
Termination
Either party may terminate this agreement at any time. Synergy DataTech reserves the right to suspend or terminate your account immediately and without notice if:
- You breach any provision of these Terms
- We detect fraudulent, abusive, or illegal activity on your account
- Your use of our services poses a legal, regulatory, or reputational risk
- You fail to make payment within the agreed terms
Upon termination, any unused credits may be forfeited depending on the reason for termination. If you terminate voluntarily and in good standing, unused credits may be refunded subject to our Refund Policy in Section 8.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, specifically applicable to the state of Gujarat.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India. Both parties agree to attempt to resolve disputes amicably through good-faith negotiation before initiating formal legal proceedings.
Changes to These Terms
We reserve the right to update or modify these Terms & Conditions at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify active clients via email or platform notification.
Your continued use of our services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically. If you do not agree to the updated Terms, you should cease using our services and contact us regarding your account.
